Key facts to know

FINRA SIE content outline, 4.1.1
Form U4 registers an associated person with FINRA and the states; Form U5 must be filed within 30 days of termination. A registration lapses after two years without association (longer if enrolled in the MQP).
FINRA Rule 1240
The Regulatory Element of continuing education must be completed each year by December 31; the Firm Element is the firm's own training plan.
FINRA Rule 3220
Gifts to persons at other firms related to the business are limited to $100 per person per year; business entertainment where the giver is present is treated separately.
FINRA Rules 3270 and 3280
Outside business activities require prior written notice to the firm; private securities transactions (selling away) require prior written notice and, if compensated, the firm's written approval and supervision.
FINRA SIE content outline, 4.1.1
Statutory disqualification includes felony convictions and securities-related misdemeanors within the past ten years, and bars or suspensions by a regulator.
FINRA — SIE exam
The SIE itself does not qualify anyone to do securities business: a top-off qualification exam (Series 6, 7, etc.) and firm sponsorship are required.

  1. 1 / 34Multiple choice4. Overview of the Regulatory Framework — 4.1.1 Registration and Continuing Education

A newly hired employee of a broker-dealer has passed the SIE but has not yet passed a representative-level qualification exam. Which activity may this employee perform?

    • Accept an unsolicited order from an existing customer
    • Perform clerical and administrative functions such as data entry (correct answer)
    • Recommend a mutual fund to a prospective customer
    • Pre-qualify prospects by discussing specific securities

    Correct answer: B

Under the FINRA Rule 1200 series (Rule 1210 and 1220), a person must be registered in an appropriate category before engaging in the firm's securities business, including soliciting, accepting orders or making recommendations. Passing the SIE alone confers no registration. Purely clerical or ministerial work does not require registration.

  2. 2 / 34Multiple choice4. Overview of the Regulatory Framework — 4.2.1 Employee Conduct

A registered representative's association with a member firm ends on February 10 of a non-leap year. What is the last day the firm may file Form U5 without being late?

    • February 20
    • March 12 (correct answer)
    • February 28
    • April 10

    Correct answer: B

FINRA By-Laws Article V, Section 3 requires a member to file the Uniform Termination Notice (Form U5) within 30 days after the termination of a registered person's association, and to provide a copy to the individual within the same period. Counting 30 days from February 10 in a 28-day February lands on March 12.

    Calculation

    Termination date: February 10
Filing deadline: 30 days after termination
Days remaining in February after the 10th: 28 - 10 = 18 days (brings count to February 28)
    Days still needed: 30 - 18 = 12
    February 28 + 12 days = March 12
Result: Form U5 due by March 12

  3. 3 / 34Multiple choice4. Overview of the Regulatory Framework — 4.1.1 Registration and Continuing Education

A registered representative terminates employment on April 10, 2024 and does not elect the Maintaining Qualifications Program (MQP). On May 20, 2026 she is hired by another FINRA member. Which statement is correct regarding her representative-level qualification?

    • Her qualification remains valid because fewer than five years have passed
    • She must requalify by examination because more than two years have passed without MQP participation (correct answer)
    • Her qualification remains valid because she re-registers within three years
    • She must retake only the SIE because its four-year validity has expired

    Correct answer: B

Under FINRA Rule 1210.08, a representative-level or principal-level registration lapses if the person has been unregistered for two or more years, after which requalification by exam is required. Rule 1240(c) allows a terminated person who elects MQP within two years and completes annual CE to preserve the qualification for up to five years. Without MQP, the two-year rule governs. The SIE remains valid for four years after termination.

    Calculation

    Termination date: April 10, 2024
    Re-hire date: May 20, 2026
    Time unregistered: April 10, 2024 to April 10, 2026 = 2 years, plus 40 more days
Standard lapse window without MQP: 2 years
2 years 40 days > 2 years, so the qualification has lapsed
MQP would have extended the window to 5 years, but it was not elected
SIE validity: 4 years from termination = April 10, 2028, still valid
Result: must requalify by representative-level examination; SIE still valid

How to prepare for Regulatory Framework

Study tips, not a promise: Admezo doesn't guarantee a result beyond its pass guarantee.

  • Memorize the forms and the clock

U4 to register, U5 to terminate (30 days), two years before a registration lapses, four years for a passing SIE, CE by December 31. Questions in this section are rarely subtle.

  • Written notice vs. written approval

Outside business activities: notice. Private securities transactions for compensation: approval. Sharing in accounts: approval. Knowing which word applies is the whole question.

  • Don't skip it because it's small

Seven questions is the difference between 68% and 77%. Section 4 is the cheapest place to pick up points on the whole exam.
